Biography
Beth is an active member of legal community organizations including the American Bar Association, the Delaware State Bar Association, and the Richard S. Rodney American Inn of Court. In 2022, Beth was appointed to serve on the Supreme Court Rules Committee, where she will serve a three-year term.
Prior to joining Bayard, Beth practiced in the corporate and commercial litigation group at another Wilmington law firm. Beth earned her J.D. from Widener University Delaware Law School in 2010. After law school, Beth served as a judicial law clerk to the Honorable Mary M. Johnston, a member of the Delaware Superior Court’s Complex Commercial Litigation Division.
Elizabeth A. Powers is a director in Bayard’s Litigation Department. Beth has represented and advised clients in a wide range of corporate and commercial litigation in the Delaware Supreme Court, Delaware Court of Chancery, and Delaware Superior Court, including the Complex Commercial Litigation Division.
Beth’s practice focuses primarily on complex contract disputes, business divorce cases, judicial dissolutions of corporations and limited liability companies, disputes regarding fiduciary duties of officers and directors of corporations, actions for advancement or indemnification of attorneys’ fees and expenses, and anti-suit injunctions.Beth is an active member of legal community organizations including the American Bar Association, the Delaware State Bar Association, and the Richard S. - Represented financial advisor sued for aiding and abetting breaches of fiduciary duty in litigation arising out of a proposed stock repurchase plan.
- Represented lender sued for aiding and abetting breaches of fiduciary duty and secured dismissal in litigation arising from a transaction all or substantially all of a corporation’s assets.
- Represented limited partnerships in expedited litigation brought by creditor seeking to enforce contracts entered into by a limited partner.
- Represented investors in developmental drug company in action seeking dissolution of entity.
- Represented director in successfully obtaining, post-trial, books and records wrongfully withheld from him by the company he founded.
- Obtained anti-suit injunction barring defendant from prosecuting breach of commercial contract claim outside of Delaware.
- Represented founder of company in business divorce with business partner.
- Represented seller of company in post-closing dispute with buyer under stock purchase agreement arising out of seller’s failure to make earnout payments.*
